1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the Ramsons Delivery mobile application, the Ramsons Supermarket website (`ramsons.gi` or any related domains), and any related online services, features, or content (collectively, the "Services").

The Services are owned and operated by RAMSONS OVERSEAS LTD (Company Number 02805), a company incorporated in Gibraltar with its registered office at 5, 11 Waterport Rd, Gibraltar GX11 1AA ("we", "us", "our", "Ramsons Delivery", or "Ramsons Supermarket").

By accessing, browsing, registering for, or using the Services, whether via the app or the website, you agree to be bound by these Terms. If you do not agree, you must not use the Services. We may update these Terms from time to time. Updated Terms will be posted with a revised Effective Date. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.

2. Definitions

• "User" / "you": any person who accesses, browses, registers for, or uses the Services via the app or website.
• "Order": a request for goods, including groceries, takeaway, or other products, placed through the app or website.
• "Merchant": Ramsons Supermarket itself or any third-party seller whose products may be offered via the Services.
• "Delivery Partner": independent contractors or agents who perform deliveries on our behalf.

3. Eligibility and User Accounts

You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use the Services. You may create an account with accurate, complete, and current information. The same account can be used across both the Ramsons Delivery app and Ramsons Supermarket website.

You are responsible for maintaining the confidentiality of your account credentials and all activity under your account. Please notify us immediately of any unauthorised use.

4. Services

Ramsons Delivery and Ramsons Supermarket provide an on-demand platform that allows you to:

• Browse products and place orders for delivery or click-and-collect via the app or website.
• Track deliveries in real time through the app.
• Shop online at our supermarket in Gibraltar, in the Waterport area, and manage your account across both platforms.

We facilitate transactions between you and the Merchant but are not a common carrier. Delivery Partners are independent contractors and not our employees.

5. Orders, Pricing, and Payments

• 5.1 All orders placed via the app or website are subject to availability and acceptance by us. We reserve the right to refuse or cancel any order at our discretion.
• 5.2 Prices are displayed in the app or on the website and include VAT where applicable. Delivery fees, service fees, and minimum order values, if any, will be clearly shown before checkout.
• 5.3 Payments are processed securely through third-party payment providers. By placing an order you authorise us to charge the selected payment method.
• 5.4 Promotional codes, discounts, and loyalty offers are subject to specific terms and may be withdrawn at any time.

6. Delivery and Collection

• 6.1 Delivery times are estimates only and not guaranteed. We are not liable for delays caused by traffic, weather, third parties, or events beyond our reasonable control.
• 6.2 You must provide a correct delivery address in Gibraltar. If you are not available at the stated time, the Delivery Partner may leave the order at the door or return it, and additional fees may apply.
• 6.3 Click-and-collect is available at our designated supermarket location during opening hours.
• 6.4 Title and risk in the goods pass to you upon delivery or collection.

7. Cancellations and Refunds

• 7.1 You may cancel an order within the time window shown in the app or on the website. After preparation or dispatch, cancellation may not be possible.
• 7.2 Refunds, where applicable, will be issued to the original payment method within 5 to 10 business days. We do not refund for change of mind after delivery unless the goods are faulty or not as described.
• 7.3 We may cancel orders due to stock shortages or operational reasons and will notify you promptly with a full refund.

8. User Conduct and Responsibilities

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws.
• Submit false or misleading information.
• Harass, threaten, or abuse our staff, Delivery Partners, or other users.
• Attempt to reverse-engineer, hack, or interfere with the app or website.
• Resell or commercially exploit any products obtained through the Services without our prior written consent.

You are solely responsible for the accuracy of your order details and for any consumption of delivered or collected goods, including checking for allergens.

9. Intellectual Property

The Services, their design, logos, text, graphics, software, and content are owned by or licensed to RAMSONS OVERSEAS LTD and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Services for personal, non-commercial purposes only.

10. Privacy and Data Protection

Your privacy is important to us. Please review our separate Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Services you consent to the practices described in the Privacy Policy.

11. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the app or website will be uninterrupted, error-free, or free of viruses. We are not responsible for the quality, safety, or legality of any products supplied by third-party Merchants, if any.

12. Limitation of Liability

To the fullest extent permitted by law, RAMSONS OVERSEAS LTD, its directors, officers, employees, agents, and Delivery Partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the Services or any Order. Our total liability to you shall not exceed the value of the Order giving rise to the claim.

Nothing in these Terms excludes liability for death or personal injury caused by negligence or for fraud.

13. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses, including legal fees, arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party rights.

14. Termination

We may suspend or terminate your account and access to the Services at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Services ceases immediately.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Gibraltar. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Gibraltar.

16. Miscellaneous

• 16.1 If any provision of these Terms is held invalid, the remainder shall continue in full force.
• 16.2 These Terms constitute the entire agreement between you and us regarding the Services.
• 16.3 We may assign our rights and obligations without your consent. You may not assign yours without our prior written consent.
• 16.4 No waiver of any breach shall constitute a waiver of any other breach.
